1. Acceptance of Terms

By accessing or using the SAPATIX platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

SAPATIX provides spatial intelligence software that allows organizations to visualize, analyze, and optimize physical environments based on aggregated operational data. The Services include digital twin modeling, analytics dashboards, simulation tools, and related APIs.

3. Accounts and Registration

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account credentials secure. You are responsible for all activities that occur under your account. SAPATIX reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable Use Policy

When using our Services, you agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to reverse engineer, decompile, or extract the source code of the SAPATIX platform.
  • Interfere with or disrupt the integrity or performance of the Services or our infrastructure.
  • Attempt to gain unauthorized access to the Services or related systems.
  • Use the Services to collect biometric or personally identifiable surveillance data in violation of applicable privacy laws.

5. Customer Responsibilities and Data

You retain all rights to the spatial data, floorplans, and operational metrics you submit to the Services ("Customer Data"). You grant SAPATIX a limited, worldwide, non-exclusive license to host, process, and analyze the Customer Data strictly for the purpose of providing the Services to you. You are solely responsible for ensuring that your collection and submission of Customer Data complies with all applicable laws, including securing necessary consents from individuals within your physical spaces.

6. Intellectual Property

The SAPATIX platform, including its software, visual interfaces, spatial visualization models, algorithms, and brand identity, are the exclusive property of SAPATIX and its licensors. These Terms do not grant you any rights to use SAPATIX's trademarks, logos, or other brand elements.

7. Fees and Billing

Certain tiers of the Services require payment of subscription fees. By selecting a paid plan, you agree to pay all applicable fees in accordance with the billing terms presented to you at the time of purchase. SAPATIX reserves the right to modify its pricing with prior notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPATIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. IN NO EVENT SHALL SAPATIX'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO SAPATIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. SAPATIX does not guarantee that the Services will be uninterrupted, error-free, or completely secure. The spatial insights and optimizations recommended by the platform are for informational and operational planning purposes only; you are responsible for any physical changes made to your environments.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Sections regarding intellectual property, limitation of liability, and disclaimers shall survive termination.
